These Terms & Conditions ("Terms") govern your use of locallysavvybiz.com and your engagement of Locally Savvy Biz Solutions ("Locally Savvy," "we," "us," or "our") for services. By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
1. Our Services
Locally Savvy Biz Solutions provides business systems consulting and implementation, including CRM setup, marketing automation, website development, custom dashboards and applications, AI solutions, branding and design, and business coaching. Specific deliverables, timelines, and pricing for client engagements are defined in a separate proposal, agreement, or invoice ("Engagement Terms"). If these Terms conflict with signed Engagement Terms, the Engagement Terms control.
2. Client Responsibilities
To deliver our services, clients agree to:
- Provide accurate information, timely feedback, and access to accounts and assets needed for the project
- Ensure they have the legal right to use any content, data, and materials they give us
- Maintain their own compliance obligations, including obtaining proper consent from their own customers for email and SMS marketing
- Pay invoices on time per the agreed schedule
Delays in providing required materials or approvals may extend project timelines.
3. Payments
Fees are stated in your proposal or invoice. Unless otherwise agreed in writing, payment is due upon receipt. Recurring services (such as monthly system management or software subscriptions) bill automatically until canceled per the terms of your agreement. Late payments may result in paused work or suspended services. Fees for completed work and delivered services are non-refundable unless otherwise stated in your Engagement Terms.
4. Third-Party Platforms
Many of our services are built on third-party platforms, including HighLevel (LeadConnector), hosting providers, payment processors, and communication carriers. Your use of those platforms is subject to their own terms of service, and we are not responsible for outages, changes, pricing adjustments, or policy decisions made by third-party providers. Carrier compliance requirements for SMS (including A2P registration) are governed by the carriers and their partners, and approval timelines are outside our control.
5. Intellectual Property
Our materials. Our website content, templates, systems, frameworks, training materials, and methodologies are the property of Locally Savvy Biz Solutions and may not be copied, resold, or redistributed without written permission.
Client deliverables. Upon full payment, clients receive the rights to the final deliverables created specifically for them (such as their website content, branding files, and configured systems), as described in their Engagement Terms. We retain the right to use underlying tools, templates, know-how, and non-confidential general concepts in our business.
Portfolio use. We may reference completed client work in our portfolio and marketing unless the client requests otherwise in writing.
6. Confidentiality
Both parties agree to keep the other's non-public business information confidential and to use it only for purposes of the engagement.
7. Website Use
You agree to use our website for lawful purposes only. You may not attempt to gain unauthorized access to our systems, scrape or harvest data from our site, or use our website in any way that could damage or impair its operation.
8. Text Messaging
If you opt in to receive text messages from us, messaging is governed by the SMS terms in our Privacy Policy. Reply STOP at any time to opt out, or HELP for assistance. Message and data rates may apply, and message frequency varies. Consent to receive text messages is not a condition of purchase.
9. No Guarantees
We work hard to build systems that help businesses grow, and we stand behind the quality of our work. However, business results depend on many factors outside our control. We do not guarantee specific outcomes, including revenue, lead volume, rankings, deliverability rates, or growth results. Coaching and consulting are provided for informational and educational purposes and do not constitute legal, financial, or tax advice.
10. Limitation of Liability
To the maximum extent permitted by law, Locally Savvy Biz Solutions is not liable for indirect, incidental, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claim related to our services shall not exceed the amount you paid us for the services giving rise to the claim in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Locally Savvy Biz Solutions from claims arising out of your misuse of our website, your violation of these Terms, or content and data you provide to us that infringes the rights of a third party.
12. Termination
Either party may end an engagement per the terms of the applicable agreement. Upon termination, the client is responsible for fees for work completed through the termination date. We may suspend or terminate website access for anyone who misuses the site or violates these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Kansas.
14. Changes to These Terms
We may update these Terms from time to time. The current version will always be posted on this page with its effective date. Continued use of our website or services after changes means you accept the updated Terms.
